PRICING AND QUOTATIONS

The Website does not facilitate, process, or accept any payments for Cleaning Services. Any fees payable for Cleaning Services shall be agreed between you and Tersus Cleaning separately, and shall be governed exclusively by the applicable Service Agreement.

Unless expressly stated in writing, all quotations provided by Tersus Cleaning shall be valid only for the period specified in the quotation, and if no period is specified, for a reasonable period determined by Tersus Cleaning. Quotations may be withdrawn or revised if there is a material change in scope, premises condition, access arrangements, or other relevant circumstances.

Billing, invoicing, payment terms, and any applicable taxes shall be specified in the Service Agreement and/or the relevant invoice. You acknowledge and agree that Tersus Cleaning may require advance payment, a deposit, or staged payments depending on the nature of the Cleaning Services, provided that such requirement shall be communicated and agreed separately and shall not be processed through the Website.

If you are a client receiving Cleaning Services under a Service Agreement, you agree to pay all invoices in accordance with the payment terms specified in the Service Agreement.

Tersus Cleaning reserves the right to decline to commence, continue, or schedule Cleaning Services where invoice amounts remain unpaid beyond the applicable due date, subject to the terms of the Service Agreement.

For the avoidance of doubt, the Website does not store or process your credit card, debit card, or other payment details.

TERMINATION

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAWS, TERSUS CLEANING EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE WEBSITE, THE CLEANING SERVICE AND THE WEBSITE CONTENT. TERSUS CLEANING DOES NOT WARRANT THAT THE FUNCTIONS PERFORMED BY THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT DEFECTS IN THE WEBSITE WILL BE CORRECTED. TERSUS CLEANING DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE WEBCONTENT, OR THAT ANY ERRORS IN THE WEBSITE CONTENT WILL BE CORRECTED.

IN NO EVENT WILL TERSUS CLEANING BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR OTHER INDIRECT DAMAGES ARISING OUT OF (I) THE USE OF OR INABILITY TO USE THE WEBSITE, THE CLEANING SERVICE, OR THE WEBSITE CONTENT, (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE WEBSITE, THE CLEANING SERVICE AND/OR THE WEBSITE CONTENT, (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, OR (IV) ANY OTHER MATTER RELATING TO THE WEBSITE, THE CLEANING SERVICE, OR THE WEBSITE CONTENT, EVEN IF TERSUS CLEANING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS OR ANY SERVICE AGREEMENT, TERSUS CLEANING’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE WEBSITE, THE CLEANING SERVICES, OR THESE TERMS FOR ALL CLAIMS OF ANY KIND SHALL NOT EXCEED:

THE TOTAL AMOUNT ACTUALLY PAID BY YOU FOR THE CLEANING SERVICES UNDER THE RELEVANT SERVICE AGREEMENT GIVING RISE TO THE LIABILITY; OR

IF NO CLEANING SERVICES WERE AVAILED, $1,000.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Tersus Cleaning, and its parent company, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from and against any and all claims, demands, liabilities, losses, damages, costs, or expenses, including reasonable attorneys’ fees, arising directly from your breach of these Terms or any Other Policies.

GOVERNING LAW

These Terms and Other Policies, and any disputes arising out of or relating to them, shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. You agree that any legal action, suit, or proceeding arising out of or relating to these Terms, Other Policies, or your use of the Website shall be brought exclusively in the competent courts of Texas. You consent to the personal jurisdiction of such courts and waive any objections based on venue or inconvenient forum.

SEVERABILITY
